1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (or the company you represent) and SliceText, Inc., 30 North Gould Street, Sheridan, WY 82801, United States ("SliceText," "we," or "us"), governing your use of the SliceText platform and related services.

2. Eligibility

You must be at least 18 years of age and have the legal authority to enter into a binding contract to use SliceText. If you are using the platform on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

3. Your Account

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at support@slicetext.com if you suspect unauthorized access. You may not share account credentials or create accounts for the purpose of reselling access.

4. Acceptable Use

You agree not to use SliceText to:

• Send unsolicited messages (spam) or messages to recipients who have not consented
• Violate the TCPA, CAN-SPAM Act, CASL, GDPR, or any applicable law or regulation
• Send messages containing illegal content, harassment, hate speech, or adult content without proper compliance measures
• Attempt to reverse engineer, decompile, or circumvent the platform's security
• Use automated means to scrape, crawl, or extract data from the platform
• Impersonate any person or entity or misrepresent your affiliation

Violation of these terms may result in immediate account suspension without refund.

5. SMS and Messaging Compliance

You are solely responsible for compliance with all messaging laws applicable to your campaigns, including obtaining proper prior express written consent from recipients, honoring opt-out requests within 10 business days, and including required disclosures. SliceText provides tools to help you comply but does not guarantee compliance on your behalf.

6. Payment and Billing

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or at our sole discretion. You authorize us to charge your payment method on file for all amounts due. We reserve the right to suspend service for accounts with overdue balances after reasonable notice.

7. Intellectual Property

SliceText and its features, code, design, and branding are the intellectual property of SliceText, Inc. You retain all rights to content and data you upload. You grant SliceText a limited license to process your data solely to provide the service. Neither party may use the other's trademarks without written consent.

8. Data and Privacy

Our collection and use of personal data is described in our Privacy Policy. You represent that you have the legal right to upload any contact data you provide to the platform. If you are subject to GDPR, a Data Processing Agreement (DPA) is available on request.

9. Limitation of Liability

To the fullest extent permitted by law, SliceText's total liability to you for any claim arising out of or related to these Terms or the platform shall not exceed the fees you paid to SliceText in the twelve (12) months prior to the claim. In no event shall SliceText be liable for indirect, incidental, special, consequential, or punitive damages.

10. Disclaimer of Warranties

The platform is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or free of harmful components.

11. Termination

You may cancel your account at any time from your account settings or by emailing support@slicetext.com. We may suspend or terminate your account for violations of these Terms, with or without notice. Upon termination, your right to use the platform ceases immediately.

12. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Sheridan County, Wyoming.

13. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated by email or in-platform notice at least 14 days before taking effect. Continued use of the platform after that date constitutes acceptance of the revised Terms.
